NOTICE is hereby given that the Twenty-sixth Annual General Meeting of Tata Sponge Iron Limited will be held at the ‘Lake View’ (Officers’ Recreation Centre), TSIL Township, Joda, Dist – Keonjhar, Orissa – 758 034, on Saturday, the 1st August, 2009, at 4-00 p.m. to transact the business set out in the Notice of the said Annual General Meeting to be despatched to the Shareholders shortly.

NOTICE is also hereby given under Section 154 of the Companies Act, 1956, that the Register of Members and the Share Transfer Books of the Company would remain closed from 18th July, 2009 to 22nd July, 2009 (both days inclusive), for the purpose of Twenty-sixth Annual General Meeting and for payment of dividend on the shares as may be approved by the General Meeting. The dividend will be paid by ECS or dividend warrants will be posted (as the case may be) on or after 5th August, 2009 to the shareholders whose names appear :-

a) as Beneficial Owners as at the close of 17th July, 2009, as per the list to be furnished by the Depositories in respect of the shares held in electronic form; and

b) as Members in the Register of Members of the Company as on 18th July, 2009, after giving effect to all valid share transfers in physical form which are lodged with the Company or its Registrars and Share Transfer Agents, M/s.TSR Darashaw Limited (formerly – Tata Share Registry Ltd.) on or before 17th July, 2009.

Shareholders are requested to furnish to their Depositories/the Company’s Share Registrars & Transfer Agents, M/s.TSR Darashaw Limited , at their address given below, the Bank Account Number, the Bank Name and Branch, which will be printed on the dividend warrants in future. The Company and its Bankers will in no way be liable or responsible, if any loss occurs through the warrants falling into improper hands or through forgery or fraud. Wherever applicable, ECS facility will be used for payment.

The unclaimed dividend for the financial years 1993-94 and 1994-95 has been transferred to the General Revenue Account of the Central Government and for the years 1995-96, 1996-97, 1997-98, 1998-99, 1999-2000 and 2000-01 has been transferred to Investor Education and Protection Fund (IEPF) and the unclaimed dividend for the financial year 2001-02 is in the process of transfer to IEPF. Members, who have not encashed their dividend warrants issued for the financial year ended 31-3-2003 and onwards are requested to immediately forward the same for revalidation to M/s. TSR Darashaw Ltd. at their address given below and get the encashment at the earliest, as otherwise, on transfer of the unclaimed amount (remaining in the unpaid dividend account after a period of seven years) to the Investor Education and Protection Fund set up by the Government of India, no payments shall be made in respect of any such claims by the Fund.

The Members are requested to notify change of their address, if any, immediately to M/s.TSR Darashaw Ltd. at their new address at 6-10 Haji Moosa Patrawala Industrial Estate, 20 Dr.E. Moses Road, Mahalaxmi, Mumbai – 400 011 or to their depository participants.
